FastPASS

This research services agreement outlines the terms and conditions under which UNSW performs research services procured by a third party. It is suitable for standalone research projects required by third parties, rather than ongoing collaborative projects (where a research collaboration agreement is more appropriate). In addition to outlining the research activities to be performed by UNSW (which often includes a list of clear deliverables and milestones), the agreement sets out the rights and responsibilities of each party, including:

• Terms governing payment by the third party.
• Any key personnel required to perform the research services.
• The rights of each party with regard to confidentiality and the publication of results.
• Ownership of background intellectual property used and project intellectual property created.
  

The Research Grants and Contracts office can assist with preparing the Research Services Agreements. A Research Services Agreement would usually be executed by the Director of Research Grants and Contracts.
